我们接受委托，审验了贵公司（筹）截至2004年4月1日止申请设立登记的注册资本实收情况。按照国家相关法律、法规的规定和协议、章程的要求出资，提供真实、合法、完整的验资资料，保护资产的安全、完整是全体股东及贵公司（筹）的责任。

We accepted the appointment to verify the paid-in capital to be applied for registration of OOO Medical Instruments Co., Ltd (in preparation period and hereinafter abbreviated as Company) to April 1, 2004. The responsibilities of the Company and its all shareholders are to invest in accordance with the requirements of agreement and the articles of the association of the Company and the provisions of related laws and codes of the state, and provide true, legitimate and complete information for capital verification, and ensure the safety and completeness of its assets.

我们的责任是对贵公司(筹)注册资本的实收情况发表审验意见。我们的审验是依据《独立审计实务公告第1号一一验资》进行的。在审验过程中，我们结合贵公司(筹〉的实际情况，实施了检查等必要的审验程序。

Our responsibility is to issue a verification opinion on the Company’s paid-in registration capital. Our verification is in accordance with “Statement of Independent Auditing Practices No.1: Verification of Capital Contribution”. In the verification, in consideration of the Company’s practice, we carried out necessary audit and verification procedures.

根据有关协议、章程的规定，贵公司〈筹〉申请登记的注册资本为人民币50万元，由XX(以下简称甲方〉、XXX(以下简称乙方〉出资缴足。经我们审验，截至2004年4月1日止，贵公司〈筹〉己收到全体般东缴纳的注册资本合计人民币伍拾万元整(￥500，000元) ，各股东以货币出资。

As stipulated in related agreement and the articles of the association, the registered capital of the Company in application for its registration is RMB 500,000 Yuan, which shall be invested by XXX (hereinafter abbreviated as Party A) and XXX (hereinafter abbreviated as Party B). As we verified, to April 1, 2004 the Company has received registration capital RMB 500,000 Yuan totally invested and paid-in by its all shareholders in cash.

本验资报告供货公司〈筹〉申请设立登记及据以向全体股东签发出资证明时使用，不应将其视为是对贵公司(筹)验资报告日后资本保全、偿债能力和持续经营能力等的保证。因使用不当造成的后果，与执行本验资业务的注册会计师及事务所无关。

This capital verification report is used for the Company to apply for registration and issue capital contribution certificates to its all shareholders, and shall not be deemed as a guarantee for the Company’s capital maintenance, solvency and successive management ability. Any result caused by improper usage of this report is irrelevant to the CPAs and accounting firm carrying out this capital verification.
